Abstract: In this paper, we mainly studied the related questions of the establishment of the innovation system of the resources-exhausted cities. Firstly, we analyzed the reasons for the lack of the innovation capability of the resources-exhausted cities; Secondly, we establish the innovation system of the resources-exhausted cities,and studied the ways to achieve the innovation; At last, we determined the related policies and instruments to give full play to the innovation system.
