Abstract: System of independent directors of poblic companies in China improves their corporate governance structure, but the establishment and the implementation of the system have been influenced by many factors. This paper takes the system in our analysis of nonferrous industry for example to show development of the current situation and problems in the mechanism and puts forward suggestions.
