Abstract: The corporation system of modern enterprise is agency-principal system based upon the artful cooperation between human resource owners and financial owners. This paper introduces the development of Management Buyout, analyzes its advantages and disadvantages, Especially in the model of the design of MBO operation in Non-coal Industry, this paper states four models of investment buy-out ownership, accompanying buy-out ownership, debit buy-out ownership and lease buy-out ownership.
